Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of BOLinkz's website, applications, and related services (collectively, the “Service”) operated by BOLinkz (“we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. What BOLinkz does

BOLinkz is a digital bill of lading and proof-of-delivery platform. We provide tools for you to store, share, and collect e-signatures on freight-related documents. We are not a broker, carrier, insurer, or freight company. We do not transport goods or negotiate rates. We provide software and document workflows only.

3. Your account

You must provide accurate information and keep your account secure. You are responsible for all activity under your account. You must be at least 18 years old (or the age of majority where you live) to use the Service. If you suspect unauthorized access, notify us promptly at support@bolinkz.com. One natural person or entity should not share login credentials across multiple unrelated users in a way that circumvents billing or security controls.

4. Your content and documents

You retain ownership of documents and content you upload or create (“Your Content”). You grant us a non-exclusive, worldwide license to host, reproduce, process, display, and transmit Your Content solely to operate, secure, and improve the Service (including generating share links and signed PDFs). You represent that you have the rights needed to upload Your Content and to share it with parties you designate. You are solely responsible for the accuracy and legality of Your Content and for compliance with transportation, employment, and other laws that apply to your operations.

5. E-signatures and POD records

Electronic signatures collected through the Service are intended to be legally binding under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA) where applicable. Each POD may include GPS coordinates, a timestamp, printed name, and device-related metadata embedded in the PDF. Once a proof of delivery is completed through the Service, the resulting record is designed to be tamper-evident and may not be editable through the Service. Disputes about the underlying shipment are between the parties to the freight transaction, not BOLinkz.

6. Acceptable use

• Do not use the Service for unlawful activity or fraud.
• Do not upload fraudulent, defamatory, or infringing documents.
• Do not forge signatures or misrepresent identities.
• Do not harass, spam, or phish others using the Service or share links.
• Do not probe, scrape, reverse engineer, or attempt to access non-public areas of the Service except as permitted by applicable law.
• Do not overload, disrupt, or circumvent security or usage limits.

7. Billing

Free accounts may be subject to usage limits described in the product. Paid plans are billed through our billing partner (Polar). Fees are charged on the schedule shown at checkout. You authorize us and our billing partners to charge your payment method. You may cancel paid subscriptions according to the controls in the product; access typically continues through the end of the paid period unless stated otherwise. Taxes may apply. Except where required by law, payments are non-refundable; contact support@bolinkz.com if you believe a charge is in error.

8. Third-party services

The Service relies on third parties (for example hosting, database, email delivery, billing, and analytics). Their availability and terms may affect the Service. We are not responsible for third-party products you use alongside BOLinkz.

9. Disclaimers; limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BOLINKZ OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US$50), EXCEPT WHERE PROHIBITED BY LAW. THESE LIMITATIONS APPLY WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

We are not liable for lost freight, delayed deliveries, cargo damage, disputes between carriers and shippers, or any outcome of the physical movement of goods. The Service provides a digital record only.

10. Indemnification

You will defend, indemnify, and hold harmless BOLinkz and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

11. Termination

You may stop using the Service and delete your account where the product allows. We may suspend or terminate access to the Service if you violate these Terms, create risk or possible legal exposure for us, or for other operational reasons with reasonable notice where practicable. Upon termination, provisions that by their nature should survive (including intellectual property disclaimers, limitations of liability, indemnity, and governing law) will survive.

12. Changes to the Service or Terms

We may modify the Service or these Terms. If we make material changes to the Terms, we will provide notice as appropriate (for example by email, in-app notice, or by updating the date above). Your continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

13. Governing law; disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, subject to any mandatory consumer protections in your jurisdiction that cannot be waived.

14. General

These Terms together with the Privacy Policy constitute the entire agreement between you and BOLinkz regarding the Service. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
